The interim Management Committee (IMC) which was established by the Accra High Court of Justice (Commercial Division 7) on July 27, 2023, to direct the Management of the Adamus Resources Ltd says it is struggling to execute its mandate as per the court ruling.
At the main entrance of the company's operational headquarters in the Ellembelle District of the Western Region on Wednesday, April 17, 2024, the Committee was barred from entering the premises in order to familiarize themselves with the company's operations and engage with the employees by the security and police officers of the company.
Members of the Interim Management Committee, including Isaac Ackon, told the media that they had been denied access to the Head Office in Accra on March 25 in an effort to fulfill their mandate.
Then, on Tuesday, April 16, we made the decision to visit the location, so we headed to the Western Regional Police headquarters to speak with the Police Command and ask for their help carrying out the court orders. Thus, the IMC will have an on-site meeting with the Management team and collaborate with them in accordance with the court's decision.
Sadly, after we arrived at the location, we were unable to enter the mine. We are being prevented from entering due to an instruction from somebody, which is why we find ourselves in a situation similar to what occurred in Accra," he said.
He claimed that although the Regional Police had not shown up as scheduled, they had met a police detachment that they had been informed had been sent from Accra, but they had likewise been unable to assist them in getting to the mine.
Isaac Ackon said they will consult their lawyers for guidance going forward.
He declared, "We are here to carry out the Court's mandate and to get the work going, not to fight."
Prior to their present Monday, April 17, visit to the Adamus resources operational Head Office in Ellembelle, the IMC Despite a ruling by the High Court of Justice (Commercial Division) on July 27, 2023, which formed an Interim Management Committee (IMC) to supervise Adamus Resources Ltd., Adamus Resources barred them on Monday, March 25, 2024, from attempting to seize control.
A series of legal disputes ensued when Adamus Mining, which is 90% owned by Adamus Australia, claimed to have acquired Nguvu Mining Limited, a Mauritius-registered company. The defendants contended that Moses Kobina Bosompem was not lawfully an officer or director of Adamus Australia at the time he allegedly signed the share transfer agreement on November 7, 2022, two weeks prior to the Supreme Court of Western Australia's ruling against Angela List, a 90% shareholder in Nguvu Mining Limited).
Owing to these legal disputes, the Court appointed a five-person Interim Management Committee (IMC) to oversee the company's management team.
On October 5, 2023, the Ministry of Lands and Natural Resources designated Juliet Osei-Wusu (Mrs.) as its representative to the IMC after adhering to the Court's directions. By a resolution dated July 27, 2023, Mr. Morrison and Adamus Australia formally designated David Abini and Isaac Ackun as their representatives to the IMC.
However, Nguvu Mining has not attended either of the two appointments to the IMC and has instead resorted to challenging sessions that have been convened by representatives of the government or the defendants.
Nguvu Mining Limited lost its ability to name a representative to the IMC on February 29, 2024, and to have that representative's name filed with the Registrar on March 4, 2024, as directed by the Court, as a result of another decision rendered by the High Court, Commercial Division 7, on February 19, 2024.
